These Terms & Conditions govern your access to and use of the RedBill cloud point-of-sale and retail ERP platform, its websites, APIs, mobile applications and related services (together, the "Service"), operated by RedBill ("RedBill", "we", "us"). By creating an account or using the Service you agree to these terms.

1. Accounts and eligibility

You must be able to form a binding contract in your jurisdiction and provide accurate registration details. You are responsible for all activity under your account and for keeping your credentials secure. You may create additional users and are responsible for their actions.

2. Plans, billing and taxes

Free plan. Available at no charge with the feature and usage limits published on our pricing page, which may change over time.
Paid plans. Billed in advance on a recurring basis until cancelled. Fees are stated exclusive of any applicable taxes, duties or levies, which are your responsibility.
Usage-based services. Messaging (SMS/email), AI features and other metered add-ons may require a pre-funded balance and are consumed as used.
Non-payment. If a payment fails or a balance is unpaid, we may suspend paid features until the account is brought current.

3. Your data

You retain all rights to the business and customer data you put into the Service ("Customer Data"). You grant us a limited licence to host, process, transmit, back up and display Customer Data solely to provide and support the Service. Our handling of personal data is described in our Privacy Policy.

4. Acceptable use

You agree not to use the Service to break the law, infringe others' rights, send unsolicited or unlawful messages, transmit malware, probe or breach security, resell the Service without authorisation, or place unreasonable load on the infrastructure. We may suspend accounts that put the platform or other customers at risk.

5. Availability and support

We operate the Service on a 24/7 basis and monitor it continuously, but we do not warrant uninterrupted or error-free operation. Planned maintenance will be communicated where practicable. Support is provided by email and in-app channels.

6. Third-party services

The Service integrates optional third-party providers (payment gateways, messaging carriers, AI model providers, storage). Your use of those integrations is also subject to the relevant provider's terms, and their availability is outside our control.

7. Intellectual property

The Service, its software and its content (excluding Customer Data) are owned by RedBill and its licensors. These terms grant you a non-exclusive, non-transferable right to use the Service during your subscription; no other rights are granted.

8. Termination

You may cancel at any time from your account settings; access to paid features continues until the end of the current billing period. We may suspend or terminate for material breach, non-payment or unlawful use. After termination you may export your data for 30 days, after which it may be deleted.

9. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind to the maximum extent permitted by law. To the extent permitted by law, RedBill's aggregate liability arising out of or relating to the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim, and we are not liable for indirect, incidental, special or consequential damages, lost profits, or loss of data or goodwill.

10. Changes

We may update these terms; material changes will be notified by email or in-app notice before they take effect. Continued use after that constitutes acceptance.

11. Governing law

These terms are governed by the laws of the jurisdiction in which RedBill is established, without regard to conflict-of-law rules, and the courts of that jurisdiction have exclusive jurisdiction, unless mandatory local consumer law provides otherwise.
